Why this agreement exists

1.1 The Contractor has provided design services to LOVR as an independent contractor since 2025, invoicing LOVR weekly under ABN 92 321 830 798.

1.2 The Contractor has told LOVR she is moving to a new role. Her final day with LOVR is expected to be Friday, 25 September 2026, or another date the parties agree in writing (the Final Day).

1.3 Both parties want a clean handover, the work she has created to stay with LOVR and its clients, and the door left open to freelance work together in future. This Agreement records that.

In return for the Contractor's promises below

• LOVR pays every valid invoice for work up to the Final Day on LOVR's usual terms, with the final invoice paid on the Friday after LOVR confirms the handover in clause 3 is complete.
• LOVR provides a written reference for the Contractor on request, and Savannah Barber may be named as a referee.
• LOVR keeps the Contractor on its freelance roster and may offer her project work that fits her profile, each on a separate written engagement at a rate agreed per project.
• LOVR confirms the Contractor may show publicly released work she designed at LOVR in her personal portfolio, credited to LOVR, excluding unreleased work and anything a client has asked to keep confidential.

Before the Final Day

3.1 By the Final Day the Contractor will:

• save every working file for every LOVR and client project into LOVR's Figma team and Google Drive in layered, editable form, with fonts, links and assets sourced so another designer can continue the work;
• give LOVR a written list of every live project she has worked on in the last three months, with its status, where the files are, and what happens next;
• hand over every login and credential she holds for any LOVR or client account, tool or file, and remove any personal email, phone number or two factor method from those accounts;
• return any LOVR or client property, including equipment, drives, keys and access cards;
• delete LOVR and client material from her personal devices and accounts once it is confirmed in LOVR's systems; and
• confirm to LOVR in writing that each of these steps is complete.

3.2 LOVR may ask the Contractor reasonable questions about the handover for 30 days after the Final Day, and she will answer them promptly at no charge.

Everything created for LOVR stays with LOVR

4.1 All work the Contractor created in connection with her engagement, whether finished or not, is the sole property of LOVR or its clients. This includes concepts and ideas that were not used, layouts, artwork, logos, illustrations, layered files, templates, presentations, research and drafts.

4.2 To the extent any of that work has not already passed to LOVR, the Contractor assigns to LOVR all rights, title and interest in it, including copyright, and consents to LOVR and its clients doing anything with it that would otherwise infringe her moral rights.

4.3 The Contractor keeps no copy of any work product, client material or LOVR material after the Final Day other than the portfolio use allowed in clause 2.

What stays inside LOVR

5.1 The Contractor will not use or disclose any confidential information of LOVR or its clients. Confidential information includes client lists and contact details, pricing, proposals, contracts, strategies, unreleased work, financial information, internal processes, and the identities, rates and terms of LOVR's contractors, freelancers and suppliers.

5.2 This obligation has no end date.

Twelve months from the Final Day

For twelve months after the Final Day the Contractor must not, directly or indirectly, for herself, her new employer or anyone else:

• engage, introduce, refer or recommend any contractor, freelancer or supplier of LOVR, including photographers, videographers, developers, designers and editors, to any other agency, business or person;
• solicit, or accept work from, any client of LOVR that she worked with or learned of through her engagement, or use LOVR's client information to approach them;
• induce or encourage any employee or contractor of LOVR to end or reduce their engagement with LOVR; or
• represent herself as affiliated with LOVR.

The whole agreement

7.1 This Agreement records the whole arrangement between the parties about the end of the engagement and the matters above, and nothing in it prevents LOVR and the Contractor working together again under a separate written engagement.

7.2 Any change to this Agreement must be in writing and agreed by both parties.

7.3 This Agreement is governed by the laws of Queensland. It may be signed electronically and a signed electronic copy has the same effect as a signed original.
